Terms of Service
These Terms govern your use of RetailerOS, operated by Kosha Systems. By signing up or using the service, you agree to them. We've kept the language plain — read through, and write to us if anything's unclear.
1. Who's who
"RetailerOS" is the software-as-a-service platform offered by Kosha Systems Pvt. Ltd. ("Kosha", "we", "us"). "You" refers to the retail business that registers an account, including the authorised individual signing up on its behalf.
2. The service
RetailerOS is a billing, inventory, customer-management and operations platform built for Indian mobile and electronics retailers. The service is delivered as a web application and supporting tools. Specific features depend on the plan you subscribe to (see Pricing).
3. Your account
- You must provide accurate registration information (store name, owner mobile, GSTIN if applicable).
- You are responsible for safeguarding your login credentials and for everything that happens under your account.
- You must be at least 18 years old and authorised to bind the business you represent.
- One account per business; no sharing across unrelated businesses without our written approval.
4. Plans, billing and trials
Free plan — the Starter Free plan is available at no cost, with no credit card, indefinitely (subject to fair-use limits stated in our pricing).
Paid plans — Starter and Pro plans include a 14-day trial. After the trial, your selected plan begins billing on the cycle you chose (monthly, quarterly, or annual). All paid plan prices are exclusive of 18% GST, which is added on the invoice.
Plan changes — upgrades take effect immediately and are pro-rated. Downgrades take effect at the start of your next billing period.
Refunds — quarterly and annual plans are eligible for a pro-rated refund within the first 30 days of subscription. Monthly plans are not refundable but you can cancel any time before your next renewal.
Late payment — if a payment fails, we'll retry automatically and notify you. After repeated failures (typically 7 days), the account may be downgraded to the free plan.
5. Acceptable use
When using RetailerOS, you agree not to:
- Use the service for anything illegal, fraudulent, or harmful.
- Send spam, unsolicited bulk WhatsApp messages, or content that violates WhatsApp Business Policy.
- Reverse-engineer, scrape, or attempt to extract the underlying source code or models.
- Interfere with the service's infrastructure, abuse rate limits, or attempt unauthorised access.
- Use the platform to store or transmit malware, illegal content, or anything that infringes others' rights.
We may suspend or terminate accounts that violate these rules, with or without prior notice depending on severity.
6. Your data and content
All business data you enter — invoices, customers, inventory, IMEIs, ledger, etc. — belongs to you. We act as the data custodian. You can export this data any time, in standard formats, at no charge.
You grant Kosha a limited licence to host, process and display your data solely to provide the service. We do not use your business data to train any AI model, sell to advertisers, or share with third parties beyond what's described in our Privacy Policy.
7. WhatsApp messages
WhatsApp message limits are stated per plan (e.g., 200/month on Starter). Once exhausted, you can buy add-on packs or upgrade. Messages must comply with WhatsApp's Business Policy — we may pause messaging if your account triggers WhatsApp's spam/quality filters.
8. Intellectual property
The RetailerOS software, logos, designs and documentation are owned by Kosha Systems. You receive a limited, non-transferable, non-exclusive licence to use the service while your account is active.
9. Third-party services
RetailerOS integrates with third-party services (WhatsApp Business API, payment gateway, Tally, etc.). Use of those services is subject to their own terms. We're not responsible for their availability or content.
10. Termination
You can cancel your account any time from the account settings. We may terminate accounts for repeated payment failures, violations of these Terms, or extended inactivity (12+ months on free plans). On termination:
- Your access to paid features ends at the end of the billing period.
- Your data is retained per the schedule in our Privacy Policy.
- Tax-relevant records are retained as required by Indian law.
11. Service availability
We aim for high uptime and have invested significantly in reliability (see our Security page). Pro and Enterprise plans include uptime SLAs. Free and Starter plans do not, though we work to keep the service running for everyone.
Scheduled maintenance is communicated in advance. Emergency maintenance may occur with shorter notice when needed.
12. Disclaimer of warranties
The service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties not expressly stated here, including warranties of fitness for a particular purpose, merchantability, and non-infringement.
13. Limitation of liability
To the extent permitted by law, Kosha's aggregate liability arising out of or relating to the service is limited to the amount you paid us in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential or punitive damages, including loss of revenue or data — though we do everything we can to keep your data safe.
14. Indemnity
You agree to indemnify Kosha against third-party claims arising out of your misuse of the service or your violation of these Terms.
15. Governing law and disputes
These Terms are governed by the laws of India. Any dispute arising from or related to these Terms will be resolved in the courts of Bangalore, Karnataka, unless a binding arbitration is agreed by both parties.
16. Changes to these Terms
We may update these Terms as the product evolves. Material changes will be communicated via email and an in-app banner at least 30 days in advance. Continued use after the effective date indicates your acceptance.
